Sanctum Terms of Service
Last updated: October 14, 2026
These Terms are an agreement between you and Sanctum LLC (“Sanctum”, “we”, “us”). They cover sanctum.company, each app’s website, and our apps — Arc, Cloister and Alcove — on every device (together, the “service”).
PLEASE READ THESE TWO POINTS FIRST.
1. SUBSCRIPTIONS RENEW AUTOMATICALLY. A paid subscription renews at the end of each billing period, and we (or the app store you bought it from) charge the payment method on file the price shown when you subscribed, until you cancel. A free trial turns into a paid subscription when it ends unless you cancel before then. You can cancel online at any time. See Section 4.
2. DISPUTES GO TO INDIVIDUAL ARBITRATION, NOT COURT. Unless you opt out within 30 days, or you live in Canada or anywhere else where the law does not allow it, you and Sanctum each give up the right to have a judge or jury decide a dispute in court and the right to bring or join a class action. Small-claims court stays open to you. See Section 16.
1. Agreeing to these Terms
You accept these Terms when you create an account, start a trial or subscription, or use the service. If you don’t agree, please don’t use the service.
Each app also has short supplemental terms: https://sanctum.company/terms/arc, https://sanctum.company/terms/cloister and https://sanctum.company/terms/alcove. They apply when you use that app. If a supplement conflicts with these Terms, the supplement controls for that app, except that no supplement changes Section 16 (disputes) or Section 17 (governing law).
2. Who may use the service
You must be at least 18 years old and able to form a binding contract. The service is not directed to children. We don’t knowingly collect personal information from anyone under 13, and if we learn we have, we delete it.
You use the service as an individual, for yourself. If you use it for your work, you are still the person who agrees to these Terms.
3. Your account
- Signing in. In Cloister and Alcove you sign in with Apple, Microsoft or Google. In Arc you sign in with Apple or with a one-time code we send to your email. We don’t see or keep the password for your Apple, Microsoft or Google account.
- One account for Cloister and Alcove. Cloister and Alcove share one account; Arc has its own. Each app’s subscription is separate unless we say otherwise when you buy.
- Keep it yours. Give accurate information, keep your sign-in methods and devices secure, and don’t share your account. You’re responsible for what happens under your account. Tell us at support@sanctum.company if you think someone else has used it.
4. Subscriptions, free trials and cancellation
4.1 What you see before you pay
Before we take your payment details, we show you clearly: the price, how often you’ll be charged (for example, each month), that the subscription renews automatically until you cancel, the length of any free trial and the date it converts to paid, and how to cancel. You pay the price shown before you subscribe. Taxes, where they apply, are shown before you pay.
You agree to automatic renewal by a separate, express step at checkout — for example, a box you tick or a button that says so. We don’t charge you until you’ve given that consent.
4.2 Free trials
If you start a free trial that asks for a payment method, we charge that payment method the price shown before you subscribed at the end of the trial, and at the start of each billing period after that, unless you cancel before the trial ends. You can cancel during the trial and you won’t be charged. We show you how long the trial lasts, and the date it ends, before you start it. Trials are one per person per app unless we say otherwise.
4.3 Reminders
For subscriptions we bill, we send you a reminder at least once a year, by email or in the app, saying what you’re subscribed to, the price and how often you’re charged, and how to cancel.
4.4 Price changes
If we raise the price of your subscription, we tell you at least 7 days and no more than 30 days before the new price applies, with the new price, when it starts, and how to cancel. If you don’t want to pay the new price, cancel before it takes effect. For Apple or Google Play billing, that store’s own price-change process also applies, including asking your consent where it requires.
4.5 How to cancel
You can cancel online, any time, without calling or writing to us.
- Subscriptions you bought from us (on a website, or by card in the Mac or Windows app): cancel in the app’s subscription settings, in one step. If we show you an offer when you cancel, the cancel button stays visible the whole time.
- Subscriptions billed by Apple: cancel in your Apple account’s subscription settings (https://apps.apple.com/account/subscriptions). Deleting an app or your account does not stop Apple’s billing.
- Subscriptions billed by Google Play: cancel in Google Play’s subscription settings. Deleting an app or your account does not stop Google Play’s billing.
When you cancel, you keep access until the end of the period you’ve paid for, and you won’t be charged again. We confirm your cancellation by email or in the app.
4.6 Subscriptions billed by Apple or Google Play
If you subscribe through the App Store or Google Play, that store takes the payment, and its terms and rules govern billing, renewal, cancellation and refunds. Apple handles refunds for Apple purchases; ask Apple at https://reportaproblem.apple.com. Google handles refunds for Google Play purchases.
4.7 Refunds
We don’t give refunds for partial billing periods, except where the law requires it. If we discontinue an app and you paid us directly, we give you a pro-rata refund for the unused part of your paid period. Refunds for purchases made through Apple or Google Play are handled by Apple or Google (Section 4.6). Nothing here limits a refund the law gives you.
4.8 Payments
You authorize us and our payment processor to charge your payment method for amounts you’ve agreed to. If a payment fails, we may try again and pause paid features until it’s resolved; we’ll tell you first.
5. Your content
“Your content” means what you bring or create in the service: mail, calendar entries, messages, meeting and class transcripts, files, notes, health and activity data, questions you ask, and so on.
- You keep it. You own your content. We claim no ownership of it.
- What you let us do. You give us permission to host, store, copy, process, transmit and display your content, and to have our service providers (including AI model providers) process it for us, only to run the service for you: to provide the features you use, keep them secure, give you support, and meet legal duties. This permission ends when your content is deleted from the service, except for copies we must keep by law or that sit in backups until they expire, as the Privacy Policy describes.
- No training on your content. We don’t use your content to train AI models, and Anthropic and OpenAI, whose AI models our apps use, may not use it to train theirs.
- Your responsibility. You must have the right to bring your content into the service and to let us process it as described here.
6. AI features and what they produce
The service uses AI to sort, summarize, draft, answer questions and explain. When you use Ask or another chat feature, you are talking with AI, not a person.
- AI output can be wrong. It may be inaccurate, incomplete, out of date or not right for you. Read it and check it before you rely on it, act on it, send it or submit it.
- You decide. You are responsible for what you send, submit, share or do with the output.
- Not professional advice. Output is not legal, medical, financial, tax or other professional advice, and no app is a substitute for a qualified professional.
- Before your content reaches an AI provider, the app asks your permission when you set it up, as the Privacy Policy describes.
7. Using the service lawfully and fairly
You agree not to:
- break the law, or use the service to harm, harass, threaten, deceive or spy on anyone;
- record, transcribe or collect anyone’s words or data without the notices and consent the law requires (the app supplements say more);
- bring in content you don’t have the right to use, or that infringes someone else’s rights;
- upload malware, or probe, overload, or break the security of the service or other users’ accounts;
- copy, resell or sublicense the service, or build a competing product from it;
- reverse engineer or decompile the service, except where the law allows it despite this term;
- use bots or scraping to access the service, except through features we provide; or
- get around usage limits, permissions or safety controls.
8. Services you connect
You can connect other services, such as Google, Microsoft, Apple Health, Oura, Withings, and the course sites you use. When you connect one:
- You let us access it for you, only within the permissions you grant, to run the features you use. You can disconnect it in the app or in that service’s settings.
- That service’s own terms and privacy policy govern your use of it. We don’t control those services and aren’t responsible for them.
- If a service changes, limits or ends our access, related features may stop working.
9. Privacy
Our Privacy Policy, at https://sanctum.company/privacy, explains what we collect, why, who processes it, how long we keep it, and your rights. If you use Arc, its Consumer Health Data Privacy Policy, at https://sanctum.company/health-data, also applies. Accepting these Terms is not your consent to collect or share consumer health data; Arc asks for that separately.
10. Our service and our rights
- Your license. While you follow these Terms, we give you a personal, non-exclusive, non-transferable, revocable license to use the service.
- Ours stays ours. The service, its software, design and names belong to Sanctum or our licensors. These Terms give you no rights in them beyond this license.
- Feedback. If you send us ideas, we may use them without owing you anything.
- Changes to the service. We may add, change or remove features. If we remove a material feature you’re paying for, we tell you in advance where we reasonably can, and you may cancel. If we discontinue an app and you paid us directly, you get a pro-rata refund (Section 4.7).
11. Changes to these Terms
We may update these Terms. For a material change, we tell you in the app and by email at least 30 days before it takes effect, and we update the date at the top. If you keep using the service after the change takes effect, the new Terms apply. If you don’t agree, cancel and stop using the service before then. A change never applies to a dispute we already knew about. Section 16.8 covers changes to the arbitration agreement.
12. Ending your account
- You can stop using the service and delete your account at any time in the app. Deleting your account does not cancel a subscription billed by Apple or Google Play; cancel that with the store (Section 4.5).
- We may suspend or close your account if you seriously or repeatedly break these Terms, if the law requires it, or to protect the service or other people. Except where that would be unlawful or create a risk, we tell you first and give you a reasonable chance to fix the problem or get a copy of your content (in Alcove, by asking us).
- Your data. If you cancel and don’t delete your account, we keep your content for one year after you cancel, then delete it. When you cancel, we show you that date, and we remind you before it. If you subscribed through Apple, you cancel in Apple’s settings instead, and the app shows you the date the next time you open it. The rest of what happens to your content after you cancel or delete your account is in the Privacy Policy and the app’s section of it.
- Sections 5 (your responsibility), 6, 10, 13, 14, 15, 16, 17 and 19 survive the end of these Terms.
13. Disclaimers
We work to make the service useful and reliable, but we provide it “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties not stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we don’t promise the service will be uninterrupted, error-free, or that AI output will be accurate.
Some laws don’t allow these disclaimers. Where yours doesn’t, they don’t apply to you, and you keep the rights that law gives you.
14. Limitation of liability
To the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill.
- Our total liability for all claims about the service is limited to the greater of the amount you paid Sanctum in the 12 months before the claim arose and US$100.
These limits don’t apply to liability that can’t be limited by law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence. Nothing in these Terms limits rights you have under consumer-protection laws that can’t be waived by contract, including those of your province or state.
15. Indemnity
If someone brings a claim against us because you broke these Terms or the law — for example, by recording a person without the consent the law requires, or by bringing in content you had no right to use — you agree to cover our reasonable losses and costs from that claim, to the extent you caused them. We’ll tell you promptly about the claim and let you take part in the defense. This section doesn’t apply where the law where you live doesn’t allow it.
16. Dispute resolution: individual arbitration and class-action waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. BY AGREEING TO THESE TERMS, YOU AND SANCTUM AGREE TO RESOLVE DISPUTES BY BINDING INDIVIDUAL ARBITRATION, AND YOU AND SANCTUM EACH GIVE UP THE RIGHT TO GO TO COURT, TO HAVE A JUDGE OR JURY DECIDE THE DISPUTE, AND TO BRING OR TAKE PART IN A CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING. YOU CAN OPT OUT (SECTION 16.6). THIS SECTION DOES NOT APPLY TO RESIDENTS OF CANADA, OR WHERE YOUR LAW FORBIDS IT (SECTION 16.9).
16.1 Talk to us first
Before starting arbitration or a court case, send us a written notice by email at support@sanctum.company with your name, your account email, what the dispute is about and what you want. We’ll do the same, by email, if we have a dispute with you. We both agree to try in good faith to settle it within 60 days. Deadlines for bringing the claim are paused during those 60 days.
16.2 What goes to arbitration
If we can’t settle it, any dispute between you and Sanctum about these Terms, the service, or our dealings with each other — including claims that arose before these Terms — is decided by binding arbitration with a single neutral arbitrator, not in court. The Federal Arbitration Act governs this section.
16.3 How arbitration works
The American Arbitration Association (“AAA”) administers the arbitration under its Consumer Arbitration Rules, available at https://www.adr.org/consumer. The arbitrator can award you the same individual relief a court could, but only for you. Hearings take place by video or phone, or in person in the county or region where you live. Fees follow the AAA’s Consumer Arbitration Rules. The arbitrator decides questions about the scope of this section, except that a court decides questions about Sections 16.5, 16.7 and 16.9.
16.4 What stays in court
Either of us may bring an individual claim in small-claims court if it qualifies. Either of us may also ask a court to stop the misuse of intellectual property.
16.5 No class actions, and no jury
You and Sanctum may each bring claims against the other only individually, not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may not combine more than one person’s claims, except as Section 16.7 allows. You and Sanctum each waive the right to a jury trial. If a court decides that any part of this Section 16.5 can’t be enforced for a particular claim or remedy (such as public injunctive relief), that claim or remedy goes to court, after any arbitrable claims are decided, and the rest of this section still applies.
16.6 Opting out
You can opt out of this Section 16 within 30 days after you first accept these Terms. Email support@sanctum.company with the subject “Arbitration opt-out”, your name and your account email. Opting out changes nothing else in these Terms.
16.7 Many similar claims at once
If 25 or more similar demands for arbitration are filed against us or by us, with the help of the same or coordinated lawyers, the AAA’s mass-arbitration rules and fees apply. Nothing in this paragraph stops anyone from bringing an individual claim, and deadlines for bringing a claim are paused while a demand waits to be administered.
16.8 Changes to this section
If we make a material change to this Section 16, you can reject it within 30 days by emailing us as in Section 16.6. The version you last accepted then continues to apply to you.
16.9 Where this section doesn’t apply
If you live in Canada, this Section 16 does not apply to you. You may go to court, including as part of a class action where your province’s law allows it. The same is true if you are a consumer anywhere else whose law makes a pre-dispute arbitration agreement or class-action waiver unenforceable against you.
17. Governing law
These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law rules. This choice does not take away the protection of mandatory consumer laws of the province, state or territory where you live. Any claim that is not arbitrated may be brought in a court with jurisdiction where you live, or in the state and federal courts located in Wyoming.
18. Apps from the App Store
If you got an app from Apple’s App Store: these Terms are between you and Sanctum, not Apple. Apple has no duty to provide maintenance or support for the app. If the app fails any applicable warranty, you may tell Apple, and Apple may refund the purchase price; Apple has no other warranty duty. Sanctum, not Apple, handles any claims about the app, including product liability, legal compliance, consumer protection and intellectual-property claims. You must also follow Apple’s terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
19. General
- Notices by email. We give you notices and records by email, and may also show them in the app or on our websites. You give us notices, including legal notices under these Terms, by email to support@sanctum.company.
- Whole agreement. These Terms, the supplements and the policies they refer to are the whole agreement between you and Sanctum about the service.
- Transfer. You may not transfer these Terms. We may transfer them as part of a merger, acquisition or sale of assets, and we’ll tell you if we do.
- Severability and waiver. If part of these Terms can’t be enforced, the rest still applies. Not enforcing a term now doesn’t waive it.
- Events outside our control. We aren’t liable for delays or failures caused by events we can’t reasonably control.
